Cisco 2514 Upgrade Problem

I am trying to upgrade a Cisco 2514 from 12.0 code to
12.1 as the router has been rebooting itself every
other hour and also reboots when policy routing or
Offset list is configured.

I get the following error irrespective of how i
upgrade - from Boot mode or ROM monitor mode ? Is the
FLASH corrupted or what is the remedy to this ?
