Assumption# you know what u are doing and your configuration is correct
(following technote config):

I can add a few bullet points:

a) Double check your license. I had issue once when I was using dialin VPN
and IPSEC. the number of sessions were exceeding and having issue in
terminating tunnel. Tunnel was going phase2 to phase3 and then back to 0.
Make sure you've the right license.

b) do debug ipsec phase1 and phase2 and post them here with "sanitized'
config.
