Are you running FWSM with IOS 2.3?
Are you running FWSM in multiple context?
If you are running FWSM 2.3 with Multiple context, This issue is common
# Change the mode on FWSM to single ( command on system context of FWSM -
'mode single'
# Reconfigure the Firewall Vlan Group with a single vlan ( say 999)
# Upgarde the FWSM to 3.1 using the Vlan ( say 999)
# Upgrade the ASDM
# Reconfigure the FWSM to multiple mode ('command syntatx 'mode multiple' )
