Using CAR with Access-list differences

Is there any difference between the following:

1) Limit the rate of packets from R1 that have ip prec of 1 , 2 , 4 to
256 Kbps

access-list rate-limit 1 mask 16

vs

access-list 120 permit ip any any precedence priority
access-list 120 permit ip any any precedence immediate
access-list 120 permit ip any any precedence flash-override

so now in car you match either acl
