Hi,
Recently, I was wondering about something very similar.
I found this White Paper which compares the CatOS and IOS. This should get
you started in the right direction.

The question you asked doesn't have one right answer based on the limited
info you provided. But, after reading that paper, you'll have a much better
idea of what factors you'll need to consider and what the trade-offs are
between those 2 paths.
HTH, Tim

Subject: Cat OS or IOS for 6500 Series Switch ?
My Name is Dharmendra Shah and I am in a dilemma that should I upgrade to
Cat OS or IOS ? We have approximately 30 plus 6500 series Catalyst Switches
in our Head Offices and various remote corporate offices spread all over US.
Currently the Cat OS version installed in these switches are 7.4(7) or
7.6(7).
We are planning to upgrade the operating system of the switch.
I want to know if I should upgrade with the latest version of the Cat OS or
upgrade with the latest IOS of 6500 series switch.
I have heard that Cisco is encouraging people to go with the IOS for 6500
series switch rather then Cat OS.
Will the New IOS for 6500 series switch support all my latest hardware like
SUP1A-2GE , line card with PoE, Communication Module, etc.
Is the IOS as stable as that of Cat OS and does it support all the
functionality which are supported by the Cat OS like QoS, IP TELEHONY etc.
I would also like to know which version of IOS / Cat OS I should upgrade
to.
NOTE: We have 16 MB Flash & 64 MB RAM in all our Switches.
Dharmendra Shah
