Hi John,
If the flash-load-helper is giving you trouble I'd suggest you go for
the good old manual procedure as Kirk suggested.
1. Set your config register to 0x2101 (boot from rom) by issuing the
'config-register 0x2101' command in config mode.
2. Reload the router. It should come up with a 'Router(boot)>' prompt,
which tells you that you booted from rom instead of flash.
3. Configure your router with an ip address on the Ethernet, no shut,
ping TFTP to verify and then copy tftp to flash. If it doesn't work as
expected at least you can troubleshoot at this point. (You will not have
all the regular commands though as the rom contains a limited
(host-only) and typically also a lot older IOS). One of the things you
could try is manually erasing flash at this point, but obviously if the
copy still fails you'll be stuck with rom IOS only, so be careful.
4. After the copy has succeeded reset the config-register to the default
of 0x2102 and reload. The router should now come up with the new IOS.
If you do it this way, at least at step 3 you can do some
troubleshooting and try to find out why the router can't ping or copy.
With the automatic flash-load-helper procedure it will just try a couple
of times, timeout and give up.

no it does not go to rommon.
the error on the router is something to the effect "unable to contact
1.1.1.1 will try again in 30 seconds".......and then after 3 attempts it
just boots up normally, but w/ an erased config

I am assuming that the router goes to ROMMON mode after it fails to
locate the TFTP Server.
