Upgrade cisco 3640 to IOS 12.4

I have a cisco 3640 router w/ 32M on-board flash and 128M DRAM. However, I am not able to upgrade it to Enterprise/FW/IDS/Plus IPSec 3DES. Initially, I suspect that it is related to main memory allocation problem because the default setting is allocated 25% main memory to io. Therefore, I have adjusted it by using "memory-size iomem 10". Unfortunately, it still fails to load 12.4 IOS.
The following error is shown. I have no idea how to proceed in order to make 12.4 Enterprise/FW/IDS/Plus IPSec 3DES work.
