MEMUSB-64FT= versus off shelf 64MB USB drive from Wal-Mart?

I have 8 2811s to upgrade from 12.3(11)T IOS to 12.4(2)T (needed for
HWIC-D-AP), can I buy a off the shelf usb 64MB flash drive, format it in
a 2811, copy flash:file.ios usb:file.ios and use it to upgrade all the
other 2800s?

Or do I have to have a cisco MEMUSB-64FT= ?

Is there something proprietary about the Cisco MEMUSB-64FT= ?
