I've seen the same issue with 2500 & 2600 (non-XM) series routers.
Changing the IOS, that is, either upgrade or downgrade resolved the issue
every time. I can see the problem with this though since you have no
interfaces to use tftp. So, xmodem is the only road down which you can go to
recover the unit.
What is the filename of the image currently loaded on the 2621-XM concerned?

I have an odd thing happening. On my 2621XM routers, they will accept 128MB
but when I boot they are missing one or both fast ethernet interfaces. I
have tried it with the new boot roms as well. Anyone else experience this or
have any clues?
