Thanks for the answers. Brian, modem negotiation is fine.. i can see that in the debugs in the router.. i think the problm is with the router config.. Tomaz, i dont have the autoselect ppp command in my router. can this be a problem with the ios ?? any other clues ??

Are you sure the modem has the correct chat script? Reverse
telnet to it and type "ATZ" then "ATD". If you hear a dialtone you know
the modem to telco connection is good. They type "ATS0=1" to tell the
modem to answer after one ring. Call it from a regular phone and see if
it answers. If you get this far then you know the problem is your
router config and not the modem.
