tokening UP UP but dont ping!

Hi group,
          I have two routers connected through a MAU, both the routers comes
in-ring but dont ping each other.
The funny thing is that when i do "no shut" at one router it gives a tick
sound and comes UPUP, the other one dont tick but also shows UPUP.
it also not show in cdp nei.
help!!
