You're right about "when you add bridge-group to S0 you are just bridging
the netbios - not dlsw encaps". It works with the command since it is
bridging.
I tried a no of things e.g. use loopbacks instead of s0/e0 addresses
(someone said loopbacks always seem to work as opposes to physicals). None
of this helped. I used 2501 IOS 11.2 & 2610 IOS 12.x so I used a 3620 IOS
11.2 instead of 2610, & it did the trick!

The only thing i can think is the routing - can each router see each others
ethernet interface subnet ( as in the peer statement)
as you probably know, you can use ANY ip address on the router - say the
serial or a loopback int for resilience.
But you definately don't (shouldn't) use bridge on the serial in this case.
